SAS HUB-EQUITY, registered with the Paris Trade and Companies Register under RCS Paris 107 121 683, registered office 47 rue du Commerce, 75015 Paris, France (see the legal notice).
2. Purpose and scope
These terms govern paid subscriptions to the Hub-Equity plans (Builder, Team, Enterprise, API). They supplement the Terms of Service. Subscribing constitutes unreserved acceptance.
The Builder and Team plans are open to businesses and to individuals alike. The Enterprise plan, subscribed by quotation, is reserved for businesses. Sections 9 and 10 below apply only to a consumer customer, that is a natural person subscribing for purposes outside their trade, business or profession.
3. Plans and prices
The plans, their scope and their prices are those displayed on the pricing page or stipulated in the contractual quotation. The price of the Builder plan is stated inclusive of tax. The prices of the Team and Enterprise plans are stated in euros exclusive of tax; VAT is added, and the pricing page states, for a consumer customer, the corresponding tax-inclusive price, which is repeated in the order summary before payment. Unless stipulated otherwise, the subscription is taken per workspace, for the number of seats and keys stated in the plan, on a monthly or annual term according to the plan chosen. The number of keys and seats, the rate limit per key and the included call volume are enforced by the platform: beyond them, the request is refused until the period renews or the plan changes, with no overage billing.
On the Enterprise plan, language model consumption beyond the agreed volume is metered per customer and carried on the invoice at the contractual rate, in addition to the subscription.
4. Orders, invoicing, payment
Subscriptions are taken online or by signed quotation. Invoicing occurs on subscription and then on each renewal.
For plans subscribed online, payment is taken at the time of subscription and then on each renewal: the invoice is issued and settled the same day. For plans subscribed by quotation and settled by bank transfer, payment is due thirty days from the date the invoice is issued, which is shorter than the ceilings set by article L. 441-10 of the French Commercial Code. Any delay may result in suspension of the service.
Between businesses, any late payment gives rise as of right, without prior formal notice, to late payment penalties at three times the statutory interest rate, together with the fixed recovery indemnity of 40 euros provided for by articles L. 441-10 and D. 441-5 of the French Commercial Code, without prejudice to further compensation on production of evidence. For a consumer customer, the applicable rate is the statutory interest rate.
5. Term, renewal, termination
The subscription runs monthly or annually according to the plan chosen, and renews by tacit renewal. Termination takes effect with 30 days notice before the renewal date for an annual subscription, and at any time before the renewal date for a monthly subscription. No pro rata refund is due, save for fault on the part of Hub-Equity.
For a consumer customer, or a business employing fewer than five people, Hub-Equity informs the customer in writing, no earlier than three months and no later than one month before the termination deadline, of the option not to renew the annual subscription, in accordance with article L. 215-1 of the French Consumer Code. Failing that, the customer may terminate at any time, free of charge, from the renewal date onwards.
6. Nature of the data: no investment advice
Hub-Equity is a data provider. Hub-Equity is neither an investment adviser nor an investment services provider. No data served constitutes an investment recommendation. The customer retains sole responsibility for their decisions.
7. Warranties and limitation of liability
The data is provided "as is", without warranty of accuracy, completeness, freedom from error or fitness for a particular purpose. It is derived from public third party filings and from automated normalisation processing.
Hub-Equity is in no case liable for indirect damages, including loss of opportunity, loss of profit, the consequences of an investment decision, financial loss or regulatory exposure. Hub-Equity's total liability, on all grounds combined, is capped at the sums actually paid by the customer over the twelve months preceding the triggering event.
The exclusions and the cap above apply neither in the case of wilful misconduct or gross negligence, nor to personal injury. They are not enforceable against a consumer customer to the extent the law prohibits them: that customer retains the benefit of the statutory guarantee of conformity for digital content (articles L. 224-25-12 et seq. of the French Consumer Code), which nothing in these terms restricts.
8. Force majeure
Events of force majeure are those defined in article 1218 of the French Civil Code.
9. Consumer right of withdrawal
A consumer customer has fourteen days from the conclusion of the contract to exercise their right of withdrawal, without having to give reasons (article L. 221-18 of the French Consumer Code). It is exercised by any unambiguous statement sent to contact@hub-equity.com, and the refund is made within fourteen days of that statement.
Because access to the service is supplied immediately after subscription, a consumer who requests that immediate performance expressly waives their right of withdrawal and acknowledges losing the benefit of it once performance is fully rendered (article L. 221-28, 13 of the same code). That request and that waiver are collected at the time of subscription; failing which, the right of withdrawal remains whole.
10. Consumer mediation
After a written complaint sent to contact@hub-equity.com that has gone more than two months without a satisfactory answer, a consumer customer may refer the matter free of charge to a consumer mediator (articles L. 612-1 et seq. of the French Consumer Code). The details of the mediator Hub-Equity has joined are as follows, and are also stated on invoices:

11. Confidentiality and personal data
The parties mutually protect the confidential information exchanged. Processing of personal data is governed by the privacy policy and, where applicable, by a dedicated data processing agreement.
12. Governing law and jurisdiction
French law. Between businesses, the Commercial Court of Paris has exclusive jurisdiction, after an attempt at amicable resolution. A consumer customer retains the benefit of the jurisdiction rules and of the mandatory consumer protection provisions of their country of residence.
These Sales Terms are the English version of the Conditions générales de vente. In the event of any discrepancy between the two versions, the French version prevails.
